OG&E STEM STUDENT SPOTLIGHT RULES AND REGULATIONS

Sponsors: The Professional Basketball Club, LLC (the “Club”) and Oklahoma Gas and Electric Company ("OG&E") (collectively, “Sponsors”).

Promotional Period: The OG&E STEM Student Spotlight (“Contest”) begins on November 19, 2021 at 3:00 PM Central Time (“CT”) and ends on March 20, 2022 at 11:59 p.m. CT (“Promotional Period”).

Contest Overview and Eligibility: During the Promotional Period, students enrolled and attending either high school (grades 9-12) or undergrad college students enrolled and pursuing a STEM-related* degree, who reside in Oklahoma (each a “Nominee”), can be nominated to win a Prize Package, except for employees and their immediate families (spouse, parents, siblings, and children) and members of the same household of the Sponsors, the National Basketball Association and its member teams, NBA Properties, Inc. (collectively, NBA Entities”) and each of their respective parent organizations, subsidiaries, affiliates, directors, officers, owners, advertising and promotion agencies, and agents.

During the Promotional Period, the Sponsors will select and honor six (6) Nominees who demonstrate exemplary performance in areas of science, technology, engineering and math through academic excellence, teamwork, involvement in out of school STEM-related* activities, and continued commitment to advance in STEM.

*STEM and STEM-related areas can include math, any sciences (e.g., earth, computer, biology, chemistry, environmental), pre-engineering and technology, allied health, manufacturing, automotive, biotechnology.

Nomination Submissions; Entry Instructions: Nominations may be submitted by teachers, principals, school administrators, parents, or the like (each a “Nominator”). Any entry submitted nominating a minor must be done by a Nominator who represents that he or she has verifiable parental consent from that minor’s parent or legal guardian. There is one way to enter the Contest: Nominator must complete an entry form and submit a nomination electronically through the Contest landing page at: https://www.cognitoforms.com/OklahomaCityThunder1/ogestemstudentspotlight. Each entry must be submitted separately. Winning Nominees will be determined by one or more representatives of the Sponsors, whose decisions are final on all matters relating to this Contest. Sponsors will review the eligible nominations and select the winning Nominees for a Prize Package.

All completed nominations become the property of the Sponsors and will not be returned. Nominations without all of the blanks completed will be disqualified and not entered into the Contest. All late, lost, or incomplete entries are not considered valid entries. Any form of entry other than as specified in these rules is prohibited. By participating in the Contest, Nominators, Nominees and Prize Recipients agree to all of the terms and conditions of the privacy policy, agree to be bound by these official rules, and that the decisions of the Sponsors are final and binding in all respects.

Prize Package: Each of the six Nominees selected (“Prize Recipient”) will receive the following (collectively, a “Prize Package”):
• Two (2) Oklahoma City Thunder home game tickets
• Recognition during the Oklahoma City Thunder home game
• Thunder prize pack
Each of the Prize Recipients will be invited to attend a game determined solely by the Oklahoma City Thunder. Each Prize Package is valued at approximately: $400.

APPROXIMATE TOTAL RETAIL VALUE OF ALL PRIZE PACKAGES: $2,400 Prize Package Restrictions: The right to receive a Prize Package is non-transferable and non-assignable. No cash redemption of a Prize Package is permitted except at Sponsor’s sole discretion. Limit one (1) Prize Package per family or household. Sponsor reserves the right to substitute any Prize Package (or any portion thereof) with one of comparable or greater value at its sole discretion. All costs and expenses associated with any acceptance and use not specified herein as being provided, including but not limited to transportation costs, parking, food and beverages, souvenirs, gratuities, and other expenses incurred by accepting and making use of the Prize Package are the sole responsibility of the applicable Prize Recipient (and Prize Recipient’s guests, as applicable). The Prize Package is awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation any implied warranty of merchantability or fitness for a particular purpose). Each Prize Recipient and guest(s) will receive admission to the game only upon presentation of an admission ticket and will be subject to the rules and regulations of the venue while attending the game. Seat locations will be determined by Sponsor in its sole discretion. Unless otherwise agreed to by Sponsor, tickets will be sent via mobile ticketing.

Odds: Odds of winning depend on the number of entries received.
Notification: The potential Prize Recipient will be notified by the contact email or phone number provided on the nomination form. The potential Prize Recipient must accept the Prize Package within 3 days of time of notification (or attempted notification) or the Prize Package may be forfeited, and an alternate student will be selected from among all remaining eligible Nominees at the Sponsor’s discretion. In the event that the alternate student does not respond or accept, another alternate student will be selected. The potential Prize Recipient may also be required to execute and return any required affidavit of eligibility and/or liability/publicity release. To the extent requested, all such forms must be completed and returned within 3 days or Sponsor may disqualify the potential Prize Recipient.

Taxation: The Prize Recipient (or his or her parents or legal guardians, if under 18) is solely responsible for any and all federal, state, and local income taxes associated with his or her Prize Package. Sponsor is not responsible for and will not pay or in any way compensate Prize Recipient for taxes associated with winning a Prize Package. If required by law, Sponsors will issue Form 1099-MISC to a Prize Recipient reporting the taxable retail value of his or her Prize Package. The Prize Recipient should consult his or her tax advisor about the tax implications of accepting a Prize Package.

Waiver of Liability/Publicity Release: By acceptance of Prize Package, the Prize Recipient, and if applicable Prize Recipient’s parent or legal guardian, grants to Sponsors and their respective agents an independent, royalty-free, perpetual, irrevocable, fully transferrable, non-exclusive, worldwide right (but not obligation) and license to use Prize Recipient’s name and/or likenesses, entry submission, biographical information, city and state of residence, Prize Package information, photograph, voice, and comments for purposes of advertising, promotional and other purposes in any and all media now known or hereafter devised, worldwide, in perpetuity without further notice, permission, or compensation, from Sponsors or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so, unless prohibited by law.

General Conditions: All Nominees, Nominators and Prize Recipients, agree (a) to these Contest rules and the decisions of the Sponsors shall be final in all matters relating to the Contest; (b) to release and hold harmless Sponsors, and the NBA Entities, and all of their respective affiliated companies and directors, officers and employees from any and all claims, liability or damages arising out of their participation in the Contest and the acceptance and use of a Prize Package; (c) that under no circumstances will they be permitted to obtain awards for, and they hereby waive all rights to claim punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses; and (d) that all causes of action arising out of or connected with this Contest, or any Prize Packages awarded, shall be resolved individually, without resort to any form of class action. Sponsors are not responsible for printing or typographical errors in any Contest-related materials; for stolen, lost, late, misdirected, damaged, incomplete, illegible entries, or for transactions, entries or communications that are processed late or incorrectly or lost due to computer or electronic malfunction or human error. In the event of a dispute regarding any entry, the entry will be deemed made by the authorized account holder of the phone number submitted at the time of entry. Sponsors reserve the right in their sole discretion, to cancel, terminate, modify or suspend the Contest and award Prize Packages from among all eligible entries received prior to cancellation or termination. Sponsors also reserve the right to disqualify any individual who does not comply with these Contest rules.

ANY ATTEMPT BY A NOMINATOR OR NOMINEE OR PRIZE RECIPIENT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

Privacy Policy: Any personally identifiable information collected during the nomination process for the Contest will be collected by Club and used by Club (i) for purposes of proper administration and fulfillment of the Contest as described in these rules, and (ii) as described in Club's privacy policy, posted at https://www.nba.com/news/privacy_policy.html. In addition, all Nominees, Nominators and Prize Recipients agree that Club may share any personally identifiable information he or she supplies as part of the Contest, the use of which will be governed by the privacy policy.

Governing Law: This Contest will be governed by and construed in accordance with the laws of the State of Oklahoma.
