Eligibility: The Celtics Energy Assist Contest (the “Contest”) is open to students in grades K-8 enrolled in schools located in Massachusetts (“MA”) and Rhode Island (“RI”) (each such school, an “Organization”), where such school is located within seventy-five (75) miles of Boston, Massachusetts. The Organization must be a gas or electric customer of National Grid as of April 5, 2017. Void outside Massachusetts, Rhode Island and where otherwise taxed, prohibited or restricted by law. Officers, owners, governors, directors and employees, household members (legally related or not) of employees, and the immediate family members (i.e., spouses, parents, legal-guardians, in-laws, siblings, grandparents, grandchildren and children) of employees of Sponsors, the National Basketball Association and its Member Teams, NBA Properties, Inc., and/or their respective parents, affiliates, subsidiaries, advertising and Contest agencies, and those entities engaged in any way in the development, production, printing, distribution or execution of this Contest (collectively except National Grid, the “NBA Entities”) and their immediate family members (spouse and children, siblings, parents and their respective spouses and in-laws, regardless of where they reside) or anyone living in the households of such employees or individuals, whether or not related are not eligible to enter or win.
By entering this Contest, entrants warrant that they meet the above Eligibility requirements and agree to these Official Rules. An authorized representative of the relevant Organization, age 18 or older (“Authorized Representative”) will also be required to warrant that the school meets the Eligibility requirements and agrees to these Official Rules prior to the acceptance of any prize.
To Enter: The Contest will begin on April 5, 2017, at 8:00 P.M. Eastern Standard Time (“EST”) and end on April 19, 2017 at 8:00 P.M. EST (the “Contest Period”). There are two (2) methods of entry for this Contest, as follows: 1. Entrants may visit the website https://www.celtics.com/EnergyAssist (the “Website”) and complete the entry form provided there (the “Entry Form”), or 2. Entrants may post or tweet a message from the entrant’s own Facebook, Instagram, or Twitter account including the hashtag #EnergyAssist. Any entries that do not include the hashtag #EnergyAssist will not be considered. Entrants via Facebook, Instagram, or Twitter may be required to complete the Entry Form if selected as winner.
Regardless of means of entry, only complete entries will be accepted. Only entries received during the Contest Period and which are otherwise fully compliant with these Official Rules and the instructions posted on the Website are “Valid Entries.”
In order to complete and submit the entry materials, entrants are required to demonstrate (via whatever media) how society can be more energy efficient. The entry must be the original work of the entrant, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity.
LIMIT ONE (1) ENTRY PER ENTRANT, per entry method. Subsequent attempts made by the same individual to submit multiple entries by using multiple or false contact information, multiple social media accounts, or otherwise may be disqualified. Mechanically reproduced entries may be disqualified. Entries generated by a script, computer programs, macro, programmed, robotic or other automated means are void and may be disqualified. Sponsors (as defined in the section titled “Sponsors” and footnote 1) are not responsible for lost, late, incomplete, inaccurate, forged, mass-reproduced or mass-transmitted, mutilated, stolen, destroyed, invalid, delayed, unintelligible, misdirected, technically corrupted, undelivered or garbled electronic entries or emails; and such entries are void; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or viruses or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, undelivered or improperly formatted emails containing a link to the entry questionnaire, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes, or in any Contest-related materials or the cancellation or postponement of the game. For purposes of this Contest, an online entry is “received” when the Website or the relevant social media network’s servers record the relevant entry information. Proof of sending (such as an automated computer receipt confirming entry or “thanks for entering” message) does not constitute proof of actual receipt of an entry for purposes of this Contest. The Website’s database clock and Twitter, Instagram, and Facebook’s timestamps will be the official timekeepers for this Contest. Illegible and/or incomplete entries and entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. Those who do not follow all of the instructions, provide the required information in their entry form, or abide by these Official Rules or other instructions of Sponsors may be disqualified.
The Sponsors are not responsible for the actions of entrants in connection with the Contest, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Contest. Persons found tampering with or abusing any aspect of this Contest, or whom Sponsors believe to be causing malfunction, error, disruption or damage may be disqualified. Additionally, any attempt to cheat the Contest, as determined at the sole and absolute discretion of Sponsors, may result in immediate disqualification of the entrant, as well as other possible consequences, including disqualification from any and all existing and future contests and sweepstakes. ANY ATTEMPT BY A PERSON TO DAMAGE ANY WEBSITE (INCLUDING TWITTER, FACEBOOK, INSTAGRAM, OR THE CONTEST WEBSITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK ALL LEGAL AND EQUITABLE REMEDIES FROM AND AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsors reserve the right, in their sole and absolute discretion, to disqualify (or terminate the prize of) any individual who is found to be, or suspected of, acting in violation of these Official Rules, or to be acting in an unsportsmanlike, obscene, immoral or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person.
All materials submitted by any entrant, including but not limited to any photos or videos, shall become the property of Sponsors. Sponsors will not return any entries to entrants.
License/Use of Entry: By submitting the entry, each entrant agrees that Sponsors and their respective parents, affiliates, subsidiaries, divisions, suppliers, subcontractors and/or advertising or Contest agencies, individuals or entities responsible for the development, printing, distribution and implementation of this Contest (collectively “Released Parties”) shall have a non-exclusive, irrevocable license to use the entry (and any materials included in the entry) submitted and that the Released Parties may exploit, edit, modify, and distribute the entry and all elements of such entry, including, without limitation, the names and likenesses of any persons or locations embodied therein as well as any photographic or video images, in any and all media now known or hereafter devised, worldwide, in perpetuity without compensation, permission or notification to entrant, the relevant Organization, or any third party. Entrants also agree to abide by all Facebook, Twitter, and/or Instagram rules and regulations where applicable. Winner, winner’s parent or guardian and/or winning Organization may be required to execute release of liability, publicity releases, and/or an affidavit affirming his/her eligibility to enter and win and that he/she agrees to all terms and conditions of the Contest, and other documentation reasonably requested by Sponsor(s) (collectively, the “Required Documentation”); failure to execute such Required Documentation if requested will result in ineligibility for any prizes and another winner will be selected. Winner and winning Organization may be asked to participate in social and traditional media promotions related to this Contest and will be responsible for obtaining executed Required Documentation for all persons appearing in such media promotions if such executed Required Documentation was not obtained previously. Each entrant and such entrant’s relevant Organization agrees that the Released Parties are not responsible for any unauthorized use of entries by third parties. Released Parties do not guarantee the posting or publishing of any entry submitted in connection with this Contest.
Prizes: There will be two (2) entrants who, on behalf of their Organizations, will be selected as winners (each, collectively with his/her Organization, a “Prize Winner”) from among all valid entries received during the Contest Period. Each winning Organization will receive a visit from a Celtics player or Legend and Celtics mascot Lucky, who will together unveil a science, technology, engineering, and mathematics lab (“STEM Lab”), to be donated by the Sponsors inside a room provided by the winning Organization. The specific Celtics player or Legend will be determined by the Celtics in their sole discretion, subject to availability. As the winning entrant wins the prize on behalf of his/her Organization, no prize will be provided to the winning entrant as an individual.
No substitution, cash redemption (except as provided herein) or transfer of prize permitted by the Prize Winner. Sponsors reserve the right to substitute a prize (or portion thereof) with one of comparable or greater value, at its sole discretion. In no event will more than the stated number of prizes be awarded. All prize details are at Sponsors’ sole discretion. Sponsors expect to distribute grant prize to each Prize Winner approximately twelve (12) weeks from the date each Prize Winner completes all Contest requirements. Prize Winners and the Celtics will mutually agree upon a date and time the Celtics to visit the Organization for Lab opening ceremony.
Each Prize Winner is solely responsible for all applicable federal, state and local taxes and any expenses associated with any prize they receive, and may be responsible for pre-paying taxes prior to receiving the prize. Sponsors shall have the right, but not the obligation, to make any deductions and withholdings that Sponsors deem necessary or desirable under applicable federal, state and local tax laws, rules, regulations, codes or ordinances. An IRS Form 1099 or IRS Form W2G may be issued in the name of Prize Winner for the actual value of the prize received. Prize Winner must show a photo ID upon a Sponsor’s request to redeem the prize. Sponsors will not be responsible for awarding any un-awarded portion of a prize to Prize Winner if Prize Winner undertakes activities or communicates messages or images or engages in speech publicly or made known publicly that: (a) are sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; (b) are obscene or offensive, or may create public disrepute, contempt, scandal or ridicule; (c) defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any third party’s or prize provider’s personal or intellectual property rights or contain disparaging remarks about other people or companies; (d) are inconsistent with the positive images and/or goodwill to which Sponsors wish to associate (which shall be determined by the Sponsors, at their sole and absolute discretion); and/or (e) otherwise violate the terms of any of the agreements that Prize Winner has agreed to comply with as an entrant of this Contest.
Selection of Winners/Winner Notification/Odds of Winning: There will be a total of two (2) winning entrants, from all valid entries received during the Contest Period. Selection of Prize Winners will be made by the Celtics on or around April 19, 2017, by determining, in their sole discretion, which entry best reflects efficient use of energy. The Celtics will be the sole judge of which entries are “Valid Entries”, and their decisions will be final in all respects. Odds of winning depend on the total number of Valid Entries received during the Contest Period. A potential Prize Winner will be contacted by email and will be required to provide their full name, address, city, state, zip code, date of birth and phone number (including area code) and to complete any additional documents requested by Sponsors. Potential Prize Winners may be required to sign and return an Affidavit of Eligibility and receipt. Winning Organization must agree to provide space for the STEM Lab and to cooperate with any construction requirements imposed by Sponsors. Sponsors’ obligations with regard to the STEM Lab shall cease upon conclusion of the unveiling ceremony and the winning Organization shall be responsible for all Lab costs thereafter. Potential Prize Winner will have three (3) business days from email notification to provide required information or the prize may be forfeited and awarded to an alternate winner from among all eligible remaining entries. Email notification shall be deemed to have occurred on the date Sponsors or Sponsors’ designees first attempt to make email contact with a potential Prize Winner. If potential winner is found to be ineligible for any reason, an alternate winner may be selected, at Sponsors’ sole discretion. Any non-response by potential winner, or Sponsors’ failure to receive a response from potential winner within the prescribed three (3) business day period will result in disqualification and the selection of an alternate winner, at Sponsors’ sole discretion and time permitting. In the event Sponsors are unable to contact a potential Prize Winner, or if a potential Prize Winner is non-compliant with these Official Rules, the potential Prize Winner will be disqualified and an alternate Prize Winner may be selected by the same criteria under this section. Sponsors are not responsible for unsuccessful efforts to notify potential Prize Winner.
General: The Contest is operated by the Celtics who are solely responsible for all aspects of this Contest. By participating, each entrant and each entrant’s Organization warrants and represents that they have complied in full with these Official Rules, including but not limited to all eligibility requirements, and further agree to be bound by these Official Rules which are final and binding in all respects. Each entrant and each entrant’s Organization also warrants and represents that they, and the contents of their entry, comply with all applicable Facebook, Twitter, and/or Instagram rules. All entries shall become the property of Sponsors and will not be returned or acknowledged. Released Parties are not responsible for: (i) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, mechanical, typographical, printing, computer, hardware or software malfunctions or errors of any kind, or inaccurate transmission of or failure to receive entry by Released Parties; (ii) hardware or software errors; faulty computer, telephone, cable, satellite, network, cellular towers, electronic, wireless service provider, or Internet connectivity or other online communication problems; errors or limitations of any Internet Service Providers (ISP), servers, hosts or providers; garbled, jumbled, scrambled, delayed, or faulty data transmissions; failure of any e-mail or wireless transmissions to be sent or received; lost, late, delayed or intercepted e-mail or wireless transmissions; inaccessibility of the Website in whole or in part for any reason; traffic congestion on the Internet or the Website; unauthorized human or non-human intervention of the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an e-mail account used in connection with the Contest; or (iii) any injury or damage to Organization’s or any other person’s computer, related to or resulting from entering or otherwise participating in the Contest or downloading materials from or use of any website. Released Parties are not responsible for any other errors in connection with the Contest, including, without limitation, errors or problems in connection with the administration of the Contest, the processing of entries or stories, or typographical, printing or other errors in these Official Rules or in any Contest-related materials. If for any reason the Contest is not capable of running as planned, including without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsors reserve the right, at its sole discretion to cancel or terminate the Contest. In the event of cancellation or termination, Sponsors will conduct drawings at random from among all eligible, non-suspect Contest entries received up to time of such action for the applicable Contest Period. Released Parties are not responsible for failure to receive any entry.
ALL PRODUCTS AND PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE. PARTCIPIANT ACKNOWLEDGES AND AGREES THAT ANY WARRANTIES PROVIDED BY MANUFACTURER(S) FOR PRODUCTS AND PRIZES ARE NOT TO BE CONSIDERED WARRANTIES OF THE SPONSORS AND SPONSORS MAKE NO REPRESENTATION, GUARANTEES OR WARRANTIES AS TO THE APPLICABILITY OR ENFORCEABILITY OF ANY SUCH THIRD PARTY WARRANTIES.
By participating in the Contest each entrant and such entrant’s Organization agrees to release, defend, indemnify and hold harmless Released Parties from and against any and all claims, demands, expenses, losses and liabilities of any nature whatsoever caused or contributed to (i) by entering or participating in the Contest or (ii) by the acceptance, use or misuse of any prize. By participating in the Contest, each entrant and such entrant’s Organization irrevocably grants to Sponsors and their designees, the unconditional and perpetual right and permission to copyright (as appropriate), reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse, without limitation, the entrant and Organization’s name, address (city and state), image, likeness, statements, biographical material as well as any additional photographic images, video images, portraits, interviews, stories or other materials relating to the entrant, his/her entry, and/or his/her Organization and arising from his/her/its participation in this Contest in any and all media now known or hereafter devised, throughout the world in perpetuity, for any purpose, without limitation and without additional review, notification, compensation, or approval from the entrant or Organization (unless prohibited by law). ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER WITH OR VANDALIZE THE WEBSITE, OR INTERFERE WITH THE LEGITIMATE OPERATION OF THE CONTEST, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES AND TO DILIGENTLY PURSUE ALL REMEDIES (INCLUDING ATTORNEY’S FEES) AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW AND TO BAN OR DISQUALIFY ANY ENTRANTS OR PARTICIPANTS IN ANY CAPACITY FROM THIS AND FUTURE CONTESTS.
Except where prohibited by law, in consideration for being awarded a prize, each Prize Winner hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the use of the Prize Winner’s name, voice, entry, biographical material, and/or likeness, in all forms of media and by all manners (now and hereafter known), worldwide, in perpetuity, in any and all advertising, Contest and other publicity conducted by the Sponsors and the NBA Entities. Entrants agree not to issue any publicity concerning the Sponsors or NBA Entities without prior approval from the Sponsors. Each Prize Winner may be required to execute release of liability, publicity releases, and/or an affidavit affirming his/her eligibility to enter and win and that he/she agrees to all terms and conditions of the Contest, and other documentation reasonably requested by a Sponsor (collectively, the “Required Documentation”); failure to execute such Required Documentation if requested will result in ineligibility for any prize and another Prize Winner will be selected.

Liabilities and Dispute Resolution:By entering the Contest, all entrants agree that Sponsors maintain the right to decide all matters and disputes arising from the Contest and that Sponsors’ determination of the Prize Winners will be final and binding, as well as agreeing to hold harmless and indemnify the Sponsors and the NBA Entities from and against any liability, damages, or causes of actions (however named or described), with respect to or arising out of: (i) the entrants’ participation in the Contest, including, but not limited to, personal injury, death and/or property damage, as well as claims based on publicity rights, defamation and/or invasion of privacy; (ii) the delivery, misdelivery, acceptance, possession, use of, misuse of, or inability to use any prize (including any type or manner of costs or damages), whether under a theory of contract, tort (including negligence), warranty, or any other theory; and (iii) travel to or from any Contest-related activity. By accepting a prize, Prize Winner agrees that the Sponsors and the NBA Entities will have no liability and will be held harmless by Prize Winner for any liability, loss, injury, or damage to property or to person, including death, due in whole or in part, directly or indirectly, by reason of the acceptance, participation in, use or misuse of the prize or participation in the Contest, even if caused or contributed to by the negligence of any of the Sponsors or the NBA Entities.
Disputes: By entering the Contest, entrants and Organizations agree that (a) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys' fees; and (c) under no circumstances will any entrant or Organization be permitted to obtain any award for, and each entrant and Organization hereby waives all rights to claim punitive, special, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s or Organization’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Massachusetts, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Massachusetts. Venue with respect to any disputes shall be had in the state and federal courts of the Commonwealth of Massachusetts.

The self-addressed, stamped envelope must be received no later than May 31, 2017. Please indicate whether you are requesting the identification of the Prize Winners or a copy of the Official Rules.
