In consideration for accepting my child or ward's (the "Participant") submission in the "Show Us Your STUFF!" contest (the "Submitted Material"), I hereby:

1. Assign the copyright and all other property rights in and to the Submitted Material to NBA Entertainment, a division of NBA Properties, Inc., its affiliates, licensees, and each of their respective officers, directors, employees and agents (for purposes of this agreement, "NBAE");

2. Grant NBAE the irrevocable right to use, edit and re-use the acts, pictures, poses, performances, statements and sound materials of the Participant that are contained in the Submitted Material, throughout the world and in perpetuity, on standard and non-standard television, home video, print and electronic media (including, without limitation, the Internet or any other on-line medium), and in any other means of distribution, publication or exhibition, whether now known or hereinafter created, as part of any NBAE production or publication, including, without limitation, on the NBA.com website and within the television program entitled "NBA Inside Stuff"; and

3. Use the Participant's name, voice, likeness, statements, actions and biographical data in connection with the production, publicity, advertising, promotion, exhibition or other exploitation or use of any of the Submitted Material or any production incorporating the Submitted Material.

I hereby release and hold NBAE harmless from any claims, liabilities, losses and expenses (including attorneys' fees) of any kind arising out of or in connection with the making or the use of the Submitted Material and the use of the Participantˇ¦s name, likeness or biography. I understand and agree that neither the Participant, me or anyone else on behalf of the Participant will receive any compensation of any kind in connection with any use of the Submitted Material or any other rights granted by me hereunder, that NBAE is under no obligation to use the Submitted Material in any manner and that NBAE is relying on the rights granted herein. I also represent and warrant that I am eighteen (18) years of age or older, that I am the legal guardian of the Participant and that I have the right to grant the rights granted to NBAE herein.
