Eligibility: Open to legal residents of the 50 United States and the District of Columbia, 13 years of age or older as of 1/19/04. Eligible minors must obtain their parent's or legal guardian's consent prior to participation. Employees of NBA Properties, Inc. ("Sponsor"), NBA Media Ventures, LLC, the NBA and its member teams, Foot Locker Retail, Inc., Microsoft Corporation, and each of their respective parent companies, subsidiaries, affiliates, officers, directors, governors, owners, distributors, retailers, agents, assignees, advertising/promotion agencies, and Project Support Team, Inc. ("PST") (collectively, "Released Parties") and the immediate family members and/or those living in the same household of each such employees are not eligible to enter or win. Void where prohibited by law.

How to Enter: Visit http://www.nba.com/special_offers/nba_xbox_sweepstakes.jsp between 12:00:01AM Eastern Time ("ET") on 1/19/04 and 11:59:59PM ET on 2/2/04 ("Promotion Period") and complete and submit the online entry form according to the instructions provided. Limit one entry per person and per email address for the duration of the Promotion Period. Additional entries received from any such person or email address thereafter will be void. Sponsor is not responsible for incomplete, late or misdirected entries, failures or malfunctions of phones, phone lines, telephone systems, lost entries or transmissions, interrupted or unavailable network, server or other connections, miscommunications, failed computer hardware or software or technical failures, garbled, misrouted, scrambled transmissions, printing or other errors in these Official Rules, in any Promotion-related advertisements or other materials, or other errors or problems of any kind whether human, electronic or otherwise. The use of automated devices, including but not limited to entries submitted using any bot, macro, script, or sweepstakes service (or any other devices intended to automate any aspect of entry) to enter this Promotion is prohibited.

Winner Selection: Winners will be selected in a random drawing on or about 2/3/04 from among all eligible entries received by PST, an independent judging organization whose decisions will be final and binding in all matters relating to this Promotion. Odds of winning will depend on the number of eligible entries received. Winners will be notified by telephone and/or mail. The first randomly selected potential Grand Prize winner that answers a telephone call placed by PST notifying him/her of his/her potential winning status who agrees to accept such prize will be declared the Grand Prize winner, subject to verification of eligibility and the terms of these Official Rules. Messages will not be left on answering machines or with live persons. Prizes will be awarded to the person named on the applicable online entry form regardless of whether that is (subject to verification of eligibility and the terms of these Official Rules) the name of the authorized account holder of the email address from which said online entry form was submitted. Limit one prize per person, family or household.

Prizes: (1) Grand Prize: A 3-day/2-night trip between 2/11/04 and 2/14/04 to Los Angeles, CA for the winner and (1) guest consisting of round-trip coach air transportation from a major U.S. airport near winner's residence, standard double-occupancy hotel accommodations, ground transportation to/from the airport and the hotel, one gift bag containing select NBA licensed merchandise, and the exclusive opportunity to play Shaquille O'Neil in an Xbox video game competition on 2/12/04 (Approximate Retail Value "ARV" =$3,500). Actual prize value will vary depending on winner's city of departure. If an eligible minor is selected as the Grand Prize winner, prize will be awarded in the name of said minor's parent or legal guardian and parent or legal guardian will be required to accompany said minor on Grand Prize trip (although in such case the child, rather than the parent or legal guardian, will participate in the Xbox video game competition). Shaquille O'Neil's appearance is subject to availability. If Shaquille O'Neil is unavailable to attend event for any reason, an alternate NBA personality as determined solely by Sponsor will participate in his absence. Exact nature and duration of activities surrounding Xbox video game competition experience shall be determined by Sponsor in its sole discretion. Travel and accommodation restrictions may apply. Travel and hotel arrangements to be determined by Sponsor. Winner and guest must travel together on the same itinerary. Date and location of Grand Prize trip subject to change at Sponsor's sole discretion. Trip must be taken on dates and times designated by Sponsor or prize will be forfeited in its entirety and may be awarded to an alternate winner. If any prize-related activity(s) is canceled or postponed for any reason, travel prize will be awarded less applicable prize-related activity(s) and Sponsor will substitute that activity(s) with an item(s)/activity(s) of equal or greater value as determined solely by Sponsor. (50) First Prizes: NBA Inside Drive 2004 Video Game (Xbox gaming platform) (ARV=$50). (50) Second Prizes: $25 Foot Locker Gift Certificate (ARV=$25). Gift Certificate restrictions may apply. Total ARV of all prizes=$7,250.

Miscellaneous: No transfer, assignment, cash redemption or substitution of prizes except by Sponsor due to prize (or portion thereof) unavailability, and then for a prize (or applicable portion thereof) of equal or greater value. Federal, state and local taxes and all other expenses not specified herein are winners' sole responsibility. Grand Prize winner (if minor, his/her parent or legal guardian) will be required to execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release within (2) days of issuance of notification. Grand Prize winner's traveling companion (if a minor, his/her parent or legal guardian) will also be required to sign and return a Liability Release and (where legal) Publicity Release prior to the issuance of travel documents. Non-compliance with any of the foregoing may result in disqualification and awarding of prize to an alternate winner at Sponsor's sole discretion. If any prize notification letter or prize is returned as undeliverable, winner will be disqualified and an alternate winner may be selected. Winner and his/her traveling companion also agree to comply with all NBA rules, regulations, and directions relating to attendance at NBA sanctioned events and/or other activities and, in accordance therewith, agree not to act in an unsportsmanlike or disruptive manner, or with any intent to annoy, abuse, threaten or harass any other person at such event. Winner and his/her traveling companion may not wear or otherwise display the corporate or commercial identification of any third party during the Xbox video game competition activities without the prior consent of Sponsor. Sponsor, in its sole discretion, reserves the right to: 1.) disqualify any person and void any entries of any person who it believes has tampered with the entry process, the operation of NBA.com, or any other component of this Promotion, whose conduct or actions affect the administration, integrity, security, fairness or proper conduct of this Promotion, or who is in violation of these Official Rules and 2.) modify, suspend or terminate this Promotion should virus, bugs, non-authorized human intervention or other causes beyond the reasonable control of Sponsor, including but not limited to war, strikes, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of this Promotion and, in the event of termination or suspension, at its discretion, award prizes from among eligible, non-suspect entries received as of the date of the event requiring such termination or suspension. By participating, entrants (if minor, his/her parent or legal guardian) agree to be bound by these Official Rules and agree that: 1.) Released Parties and their designees and assigns may use (unless prohibited by law) such entrant's name, voice, city/state of residence, photograph, and/or other visual likeness for advertising and/or trade purposes and/or for the purpose of posting their name on NBA.com and/or for any other purpose in any media or format now or hereafter known without further compensation, permission or notification and 2.) Released Parties and all of their respective officers, directors, employees, representatives and agents shall have no liability and will be released and held harmless from any claim, action, liability, loss, injury or damage, including, without limitation, personal injury or death to winner or any third party or damage to personal or real property due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize (including any travel or activity related thereto) or participation in this Promotion.
