Eligibility:
The NBA All-Star Fantasy Challenge Game (“Promotion”) is open to legal residents (natural persons only) of the 50 United States, the District of Columbia, and Canada (excluding residents of Quebec) who are 13 years of age or older at time of entry (“Participants”). Eligible minors must obtain their parent’s or legal guardian’s consent prior to participation. Employees of NBA Media Ventures, LLC (“Sponsor”), NBA Properties, Inc., the National Basketball Association and its member teams, and their respective parent companies, subsidiaries, affiliates, officers, directors, governors, owners, distributors, licensees, sponsors, retailers, agents, assignees, advertising/promotion agencies, and Project Support Team, Inc. (“PST”) (collectively, “Released Parties”) and the immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in the same household of each, whether or not related, are not eligible to participate or win.

Promotion Period: The Promotion starts on 2/8/07 at 2:00:01PM Eastern Time (“ET”) and ends on 2/18/07 at 8:00:01PM ET immediately prior to the start of the NBA All-Star 2007 Game (“Promotion Period”). To Participate:
(1) Visit www.NBA.com during the Promotion Period. If you are a registered member of NBA.com, you may immediately link to the Game Play page using your previously designated user name and password from www.NBA.com to participate in the Promotion. If you are not a registered member of NBA.com, you must register before participating in this Promotion. Registration is free. To register, complete the NBA User registration form according to the instructions provided. As part of the registration process, you will be asked if you wish to receive promotional emails from the NBA. Consenting to receive promotional emails is optional and is not required for membership or participation in this Promotion. Upon completion of the registration process, you may link to the Game Play page using your newly designated user name and password from www.NBA.com to participate in the Promotion. Limit one NBA User registration form submission per email address for the duration of the Promotion Period. Additional registration forms received from any one email address thereafter will be void. The use of any device to automate the entry/registration process is prohibited and all such entries/registrations will be void. Registration form submissions will be accepted throughout the Promotion Period, in accordance with the terms of these Official Rules. (2) The Game Play page will feature all six NBA All-Star 2007 Weekend events [NBA All-Star 2007 T-Mobile Rookie Challenge & Youth Jam (“Rookie Challenge”), NBA All-Star 2007 Haier Shooting Stars (“Shooting Stars”), NBA All-Star 2007 PlayStation Skills Challenge (“Skills Challenge”), NBA All-Star 2007 Foot Locker 3-Point Shootout (“3-Point Shootout”), NBA All-Star 2007 Sprite Slam Dunk (“Slam Dunk”), and NBA All-Star 2007 Game (“All-Star Game”)] and the corresponding scheduled Participant(s) in each respective event. Using your knowledge of NBA All-Star 2007 Weekend Participants’ skills and statistics, select the player(s) who you believe will perform the best in each designated event in accordance with the online instructions provided. You will be asked to pick one player or where applicable one team per event. The use of any device to automate the selection process is prohibited and all such selections will be void. (3) If any selected player(s) is injured or otherwise unable to participate prior to the designated event, NBA All-Star Fantasy Challenge Game Points (“Points”) will be generated based on the alternate player (if any) participating in their absence as designated by Sponsor. That is, if you selected a player who was not participating in an event, your point total will be based on the performance of the player (if any) designated as the missing player’s replacement. If there are multiple missing players, Sponsor’s determination as to which substitute player will be deemed as the replacement of a particular player will be final.
(4) Selections for any given event can be made and/or modified up until 8:00:01PM ET on the day the event takes place in accordance with the posted deadlines. Selections are final as of the applicable deadline as determined by Sponsor. Your last selection, as determined by Sponsor, that is received by the applicable deadline will be used to tabulate your Points. Selections cannot be modified for any event in progress or already completed. Point(s) will not be awarded if a selection is not made for any event. (5) All selections must be accepted and acknowledged by the computer servers by the applicable deadline to be considered valid, timely, and eligible.

Released Parties are not responsible for lost, incomplete, late, delayed, garbled or misdirected entries, NBA player selections and submissions; theft, destruction or unauthorized access to, or alteration of, entries, NBA player selections and submissions; failures or malfunctions of phones, phonelines or telephone systems; interrupted or unavailable network, server or other connections; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to Participant’s or any other person’s computer related to or resulting from participation in this Promotion; errors in these Official Rules, in any Promotion-related advertisements or other materials; the selection or announcement of potential winners or the distribution of prizes; the cancellation, suspension or preemption of events, injuries or other unavailability of players, scoring tabulation or timing errors, any errors or problems associated with any particular event, or other problems or errors of any kind whether mechanical, human, electronic or otherwise.

Game Day Prize Rank/Scoring: Each Participant’s rank in the Promotion relative to other Participants will be determined by the number of Points that he/she accumulates during the Promotion Period. Participants’ rank will be tabulated as follows for each NBA All-Star 2007 Weekend event:

Point Structure:
1.) For NBA All-Star 2007 Skills Challenge, Shooting Stars, and Slam Dunk events, Participant will receive the below designated number of Points based on his/her selected player(s) performance in the applicable event:
(30) Points: Selected Player(s) Finishes In 1st Place
(25) Points: Selected Player(s) Finishes In 2nd Place
(20) Points: Selected Player(s) Finishes In 3rd Place
(10) Points: Selected Player(s) Finishes In 4th Place

2.) For the NBA All-Star 2007 3-Point Shootout event, Participant will receive the below designated number of Points based on his/her selected player(s) performance in said event:
(30) Points: Selected Player(s) Finishes In 1st Place
(25) Points: Selected Player(s) Finishes In 2nd Place
(20) Points: Selected Player(s) Finishes In 3rd Place
(10) Points: Selected Player(s) Finishes In 4th Place
(5) Points: Selected Player(s) Finishes In 5th Place
(2) Points: Selected Player(s) Finishes In 6th Place

3.) For the NBA All-Star 2007 Rookie Challenge and All-Star Game, Participant will receive one Point for each game point his/her selected player makes during the applicable game. For example, if your selected player accumulates (32) game points in the Rookie Challenge, you will receive (32) Points.

Winner Selection/Notification: (1) Grand Prize: Potential Grand Prize winner will be determined on or about 3/16/07. Grand Prize will be awarded to the Participant who accumulates the highest number of Points for the entire Promotion Period, as determined by Sponsor in its sole discretion.

In the event of a tie for the Grand Prize, the potential winner will be deemed the Participant that accumulated the most Points for the All-Star Game event. If a tie still exists, from among the remaining pool of tied Participants, the Participant that accumulated the most Points for the Rookie Challenge event will be declared the potential winner. Tiebreakers will continue through the remaining events as follows: Shooting Stars, Skills Challenge, 3-Point Shootout, and Slam Dunk until the tie among the remaining tied Participants is broken. If a tie still exists after the above tie-breakers have been invoked, a random drawing from among the final remaining pool of tied Participants will be conducted to award the Grand Prize.

(10) First Prizes: Potential First Prize winners will be determined on or about 3/16/07. First Prizes will be awarded based on the number of Points that a Participant accumulates for the entire Promotion Period, , as determined by Sponsor in its sole discretion, and will be awarded to the Participants with the 2nd through 11th most Points accumulated for the Promotion Period.

In the event that a tie between or among First Prize Participants results in more than one Participant having the 11th best score, the potential 10th First Prize winner will be deemed the Participant that accumulated the most Points for the All-Star Game event from among the pool of tied Participants. If a tie still exists, from among the remaining pool of tied Participants, the Participant that accumulated the most Points for the Rookie Challenge event will be declared the potential winner. Tiebreakers will continue through the remaining events as follows: Shooting Stars, Skills Challenge, 3-Point Shootout, and Slam Dunk until the tie among the remaining tied Participants is broken. If a tie still exists after the above tie-breakers have been invoked, a random drawing from among the final remaining pool of tied Participants will be conducted to award the 10th First Prize.

The tabulation of Points and identification of potential winners will be conducted by an independent judging organization whose decisions are final and binding with respect to these Official Rules and in all other matters relating to this Promotion. Prizes will be awarded to the person named on the applicable NBA All-Star Fantasy Challenge Game registration form regardless of whether that is the name of the authorized account holder of the email address from which said NBA All-Star Fantasy Challenge Game registration form was submitted (subject to verification of eligibility and compliance with the terms of these Official Rules). Potential winners will be notified by email, phone or mail. If an eligible minor is selected as a potential winner, applicable prize will be awarded in the name of said minor’s parent or legal guardian. Any Canadian participant selected as a potential winner will be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question administered by telephone at a pre-arranged, mutually convenient time before being declared a potential winner. If a potential Canadian winner cannot be reached by telephone within (72) hours of the first attempt to administer skill-testing question, the prize may be forfeited and, at Sponsor’s discretion, a runner-up may be notified. Limit one prize per Participant, immediate family or household for the duration of the Promotion Period.

In the event that any NBA All-Star 2007 event is canceled, suspended (and not resumed) or preempted (and not resumed) for any reason during the Promotion Period, prizes will be awarded based on Points accumulated for those events that occur as scheduled.

Prizes: (1) Grand Prize: NBA Basketball hand signed by select NBA All-Star 2007 player(s) (designated by Sponsor) and Authentic NBA Jersey (player named on Jersey to be designated by Sponsor) (Approximate Retail Value "ARV"=$330US). ARV reflects unautographed merchandise. ARV of hand-signed merchandise subject to fluctuation based on the featured NBA player(s) and current market value at time of prize award. NBA basketballs are not game used. (10) First Prizes: Authentic NBA Jersey (player named on Jersey to be designated by Sponsor) (ARV=$180US). Sizing on any apparel awarded will be at Sponsor’s sole discretion. Total ARV of all prizes=$2,130US.

Miscellaneous: No transfer, assignment, cash redemption, or substitution of prizes (or portion thereof) except by Sponsor and then for a prize (or applicable portion thereof) of comparable or greater value. Federal, state, provincial and local taxes, including but not limited to any applicable income or withholding taxes, customs duties or like fees and all other costs and expenses not specified herein are the sole responsibility of the winners. Potential Grand Prize winner (if minor, his/her parent or legal guardian) will be required to execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release within five days of date of issuance of notification. Non-compliance with the foregoing or with these Official Rules may result in disqualification and awarding of prize to an alternate winner at Sponsor’s sole discretion. If any prize notification letter or prize is returned as undeliverable, winner will be disqualified and, at Sponsor’s discretion, a runner-up may be notified. Sponsor, in its sole discretion, reserves the right to: 1.) disqualify any person who tampers with the entry process, the operation of NBA.com, or any other component of this Promotion, or who is otherwise in violation of these Official Rules and void all associated entries and 2.) modify, suspend or terminate this Promotion should virus, bugs, non-authorized human intervention or other causes, including but not limited to war, strikes, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of this Promotion and, in the event of termination or suspension, at its discretion, award prizes for completed portions of the Promotion to the high scoring eligible non-suspect Participants as of the event requiring such termination or suspension. By participating, Participants (if minor, his/her parent or legal guardian) agree to be bound by these Official Rules and agree that: 1.) Released Parties and their designees and assigns may use (unless prohibited by law) such Participant’s name, city, state, province and/or territory of residence, photograph and/or likeness for advertising and/or trade purposes and/or for the purpose of posting their name, user name and/or NBA All-Star Fantasy Challenge Game Point Total on NBA.com or on any NBA telecast and/or for any other purpose in any media or format now or hereafter known worldwide in perpetuity without further compensation, permission or notification and 2.) Released Parties and all of their respective officers, directors, employees, representatives and agents shall have no liability and will be held harmless for any liability, loss, injury or damage, including, without limitation, personal injury to Participant or any other person or death or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of any prize or prize activity related thereto or participation in this Promotion.
